REFUNDABLE DEPOSIT AGREEMENT

THIS AGREEMENT is between Marina Owner listed below, hereinafter referred to as “Depositor”, and BoatBites Inc., a corporation organized and existing under the laws of the State of Florida, with its principal office located at 7901 4th Street N, Suite 300, St. Petersburg, FL 33702 , hereinafter referred to as “Company”.

Both parties acknowledge as this is a new endeavor and either party may decide not to move forward with a purchase or further agreements. The Depositor has 24 months to choose to open their dealership, but it must be open no later than June 1, 2025.

WHEREAS, Depositor is interested in securing a BoatBites dealership within a 5-mile radius of their primary location, and

WHEREAS, Company is willing to hold a place in line for Depositor for the said dealership, subject to the terms and conditions set forth herein,

NOW, THEREFORE, in consideration of the mutual covenants contained herein and for other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, the parties agree as follows:

1. Deposit: Depositor shall provide a deposit of $2,500 to Company. This deposit is fully refundable as set forth in this Agreement.
2. Purpose: The deposit is meant to hold the Depositor’s place in line for a chance for a dealership within a 5-mile radius of their primary location. Either the Dealer or the Company may choose to decline to move forward with a dealership opportunity. In either case, BoatBites Inc. will refund the $2500 deposit with three business days of receiving notification (email is acceptable).
3. Refund of Deposit: The deposit is fully refundable to Depositor upon request, or if the dealership opportunity does not materialize for any reason.
4. Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the State of Florida.

BoatBites Inc. is a Florida corporation which operates a water-based food delivery service, similar in operation to “UberEats”, and uses independent contractors to supply both food and delivery services. The Company supplies the Dealer with a technical platform to completely operate the dealership, customer service, technical support, advertising, etc.
